Job Description

  • We are looking for a highly talented and analytical general counsel to develop our business in the best manner from a legal perspective and to optimize our organizational efficiency regarding legal matters.
  • The general counsel will provide strategic guidance, consultation, and support to senior management on a comprehensive range of legal and associated issues involved in carrying out the mission of the company including: our business model, vendor contracts, manage relationships with key regulators, trademarks, company secretary role, represent the company in all legal matters, including lawsuits, consumer protection, data protection and all other legal and compliance matters.
  • You will be expected to stay updated with changes in local, state, and federal laws and regulations. Success in this role will be demonstrated by providing timely and valuable legal input and solutions, and by helping management make sound and lawful business decisions.

Duties and Responsibilities

  • Contribute to the profitable business of the company by analyzing and advising on all inherent legal risks.
  • Be the key relationship holder for all regulators and ensure that the relationship is effective.
  • Company secretary and all related aspects and duties.
  • Determine strategy for legal proceedings together with external advisors and other departments and represent the company as applicable.
  • Reviews contracts, leases, and other legal documents; research legal issues and recommends revisions as necessary.
  • Be part and as applicable lead the negotiations with clients, vendors and in litigation.
  • Drafts, reviews, and approves policies and procedures, regulations, bylaws, and other legal documents relating to the operations of the Company.
  • Advising executive members on new laws, existing laws and legal rights that would impact the functionality of the business.
  • Overseeing the legal matters of the business as a whole, including acting as the business’ legal representative.
  • Maintaining knowledge of the company’s legal documents and operations.
  • Prepare all necessary documents for all legal proceedings.
  • Facilitating filings of licensing forms and other statutory requirements.
  • Liaise with external counsel and vendors of the company.
  • Prepare the appropriate legal documents for trial or court proceedings.
  • Guide management on regulatory and compliance issues to ensure compliance with legal regulations.
  • Creating new entities and managing the organization’s intellectual property
  • Conducts periodic compliance assessment.
  • Performs miscellaneous job-related duties as assigned.
  • Advise on compliance with applicable legislations in Nigeria including but not limited to the Nigeria Data Protection Regulation (NDPR), the NITDA Act, the NDPR Data Protection Implementation Framework, Nigerian Communication Commission Act, Corporate Affairs Commission etc.

Job Requirements

  • Bachelor’s Degree in Law (Master’s Degree, or a member of ICSAN or Chartered Institute of Arbitrators would be an added advantage).
  • Nigerian Bar Association membership and in good standing.
  • Previous working experience as a Legal Counsel or on a secondment for 6 year(s).
  • Ability to provide competent legal advice and counsel to senior management on a wide range of legal and policy issues.
  • Ability to communicate and interact with officials at all levels of government.
  • Good Negotiation skills.
  • Proficient in MS Office.
  • Experience with corporate governance issues and corporate secretarial duties.
  • Good organizational, prioritization and time-management skills
  • Arbitration and mediation skills.
  • Detail-oriented and strong analytical and problem-solving.
  • Demonstrated ability to create legal defensive or proactive strategies.
  • High degree of professional ethics and integrity.
  • Sound judgement and ability to analyze situations and information.
